Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your access to and use of the services, products, and website operated by PT Angkasa Solusi Digital under the SKYION brand ("SKYION", "we", "us", "our"), available at skyion.id ("Services").

By registering an account or using any of our Services, you agree to be bound by these Terms. If you do not agree, do not use our Services.

2. Eligibility

You may use our Services if you are:

• At least 18 years of age, or
• A legal entity duly established under applicable law

By using our Services, you represent that the above is true.

3. Accounts

3.1 Registration

To access certain features, you must create an account. You agree to provide accurate and complete information and to keep it updated.

3.2 Account Security

You are responsible for maintaining the confidentiality of your login credentials. You are liable for all activity that occurs under your account. Notify us immediately at hi@skyion.id if you suspect unauthorized access.

3.3 One Account per User

Each account is for use by a single user or organization as defined under your subscription plan. Sharing accounts or credentials between multiple individuals without authorization is prohibited.

4. Products & Services

4.1 Ready-to-Use Products

SKYION offers software products available under subscription (SaaS) or one-time license (self-hosted) arrangements. The specific features, pricing, and conditions of each product are described on the relevant product page and are incorporated into these Terms by reference.

4.2 Custom Development Services

Where SKYION agrees to provide custom software development services, the scope, timeline, deliverables, pricing, and ownership terms will be set out in a separate Statement of Work ("SOW") or project agreement signed by both parties. In the event of conflict between that agreement and these Terms, the SOW prevails.

4.3 Service Availability

We aim to maintain high availability of our Services but do not guarantee uninterrupted access. We reserve the right to perform scheduled or emergency maintenance. We will provide reasonable advance notice for planned downtime where possible.

5. Subscriptions & Payment

5.1 Billing

Subscriptions are billed in advance on a monthly or annual basis, as selected at the time of purchase. All prices are listed in Indonesian Rupiah (IDR) unless otherwise stated.

5.2 Renewal

Subscriptions do not renew automatically. You must manually renew your subscription to continue service after the subscription period ends.

5.3 Cancellation

You may cancel your subscription at any time through your Dashboard. Cancellation does not result in refunds for any unused portion of the subscription period.

5.4 Price Changes

We reserve the right to modify pricing. We will provide at least 30 days' notice before any price change takes effect for existing subscribers.

5.5 Taxes

Prices shown exclude applicable taxes including VAT (PPN) unless stated otherwise. You are responsible for any taxes applicable to your use of the Services.

6. Acceptable Use

You agree not to use our Services to:

• Violate any applicable law or regulation of the Republic of Indonesia or your jurisdiction
• Infringe the intellectual property rights of SKYION or any third party
• Transmit malicious code, malware, or any disruptive content
• Attempt to gain unauthorized access to our systems or another user's account
• Reverse engineer, decompile, or disassemble any part of our software, except where expressly permitted by law
• Resell or sublicense our Services without our prior written consent
• Use our Services in a manner that could damage, disable, or impair our infrastructure

We reserve the right to suspend or terminate accounts found in violation of these rules without prior notice.

7. Intellectual Property

7.1 Our IP

All software, content, trademarks, logos, and materials created and provided by SKYION remain the exclusive property of PT Angkasa Solusi Digital. Nothing in these Terms transfers any IP rights to you.

7.2 Your License to Use

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the Services for your internal business or personal purposes.

7.3 Custom Development Deliverables

Ownership of deliverables from custom development engagements is governed by the applicable SOW or project agreement. Unless expressly stated otherwise, full ownership of custom-built deliverables transfers to the client upon receipt of final payment.

7.4 Your Content

You retain ownership of any content or data you upload to our Services ("Your Content"). By uploading it, you grant us a limited license to process and store Your Content solely for the purpose of delivering the Services to you.

8. Confidentiality

Both parties agree to keep confidential any non-public information shared in connection with the Services or any project engagement, and not to disclose it to third parties without prior written consent, except as required by law.

9. Disclaimers

Our Services are provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement, to the fullest extent permitted by Indonesian law.

We do not warrant that:

• The Services will be error-free or uninterrupted
• Any defects will be corrected within a specific timeframe
• The Services will meet every specific requirement you may have

10. Limitation of Liability

To the maximum extent permitted by applicable law, PT Angkasa Solusi Digital shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of, or inability to use, the Services.

Our total liability for any claim arising from these Terms or the Services shall not exceed the total amount you paid us in the 3 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless PT Angkasa Solusi Digital, its directors, employees, and agents from any claims, damages, or expenses (including reasonable legal fees) arising from your violation of these Terms or your use of the Services.

12. Termination

12.1 By You

You may terminate your account at any time by cancelling your subscription and deleting your account through the Dashboard, or by contacting us at hi@skyion.id.

12.2 By Us

We may suspend or terminate your access immediately if you breach these Terms, engage in fraudulent activity, or if required by law. Where reasonably practicable, we will provide notice before termination.

12.3 Effect of Termination

Upon termination, your right to use the Services ceases immediately. Provisions of these Terms that by their nature should survive termination will do so, including sections on IP, liability, and governing law.

13. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Republic of Indonesia, including:

• Law No. 11 of 2008 on Electronic Information and Transactions (UU ITE) as amended by Law No. 19 of 2016
• Law No. 27 of 2022 on Personal Data Protection (UU PDP)
• Government Regulation No. 71 of 2019 on Electronic Systems and Transactions (PP PSTE)

Any dispute arising from these Terms shall first be attempted to be resolved through good-faith negotiation between the parties. If unresolved within 30 days, the dispute shall be submitted to the exclusive jurisdiction of the District Court of Yogyakarta (Pengadilan Negeri Yogyakarta).

14. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or a notice on our website at least 14 days before they take effect. Continued use of the Services after the effective date constitutes acceptance of the revised Terms.
